Enefit Green €175 Million IPO

Shearman & Sterling advised Citigroup, Nordea and Swedbank as joint global coordinators and joint bookrunners in connection with the €175 million Rule 144A / Regulation S initial public offering and listing on Nasdaq Tallinn of Enefit Green AS, the renewables subsidiary of Estonian state-owned energy company Eesti Energia AS. The IPO consisted of a primary offering of shares by Enefit Green and the sale of a minority stake by Eesti Energia which will continue to remain a significant shareholder post IPO. It is one of the largest IPOs in the Baltics in the recent years.

Guangdong – Hong Kong Greater Bay Area Holdings Limited's $277 Million Exchange Offer and Concurrent New Money Offering

Shearman & Sterling represented Haitong International, Guotai Junan International and Potomac Capital Limited as the dealer managers in connection with the exchange offer by Guangdong – Hong Kong Greater Bay Area Holdings Limited of any and all of its outstanding 14% senior notes due 2021 for 13.85% senior notes due 2023. In connection with the exchange offer, the company issued $235.72 million 13.85% senior notes due 2023.

Prenetics’ Business Combination with Artisan Acquisition Corp.

Shearman & Sterling is representing UBS Securities LLC, Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC and China International Capital Corporation Hong Kong Securities Limited, who are acting as placement agents on the PIPE in connection with Prenetics Group Limited (Prenetics)’s business combination with Artisan Acquisition Corp. (Artisan). Prenetics, a global leader in genomic and diagnostic testing, has entered into a definitive merger agreement with Artisan, a publicly listed special purpose acquisition company privately founded by cultural entrepreneur Adrian Cheng, in a transaction valuing Prenetics at an enterprise value of $1.25 billion with a combined equity value of approximately $1.7 billion.
